Merchant Terms & Conditions

Overview

These Merchant Terms of Service ("Terms") govern the use of the Runlo platform by merchants. The platform is operated by Alchub LLC ("Runlo", "we", "us", or "our"). By registering as a merchant, accessing the merchant portal, or using the Runlo platform to offer products to customers, you agree to be bound by these Terms. Runlo provides a technology platform that allows merchants to receive online orders from nearby customers for pickup or delivery. Runlo does not manufacture, own, or sell the products listed by merchants on the platform.

1. Merchant Eligibility

To use the Runlo platform as a merchant, you must:

  • Be a legally registered business
  • Hold all required licenses and permits required to sell your products
  • Comply with all local, state, and federal laws
  • Be legally authorized to sell age-restricted products if applicable

2. Merchant Account

Merchants must create an account through the Runlo merchant onboarding portal. You agree to provide accurate business information, maintain updated contact and store details, and keep login credentials secure. Merchants are responsible for all activity occurring under their account.

3. Platform Services

Runlo provides merchants access to a digital platform that may include:

  • Online product listings
  • Online ordering
  • Pickup and delivery order management
  • Merchant dashboards
  • Order notifications
  • Customer communications tools

Runlo may update or improve the platform from time to time without prior notice.

4. Product Listings and Pricing

Merchants are responsible for listing accurate product information, maintaining correct pricing, updating product availability, and ensuring compliance with product regulations. Prices displayed on the platform are set by the merchant. Runlo does not control product pricing.

5. Order Fulfillment

When a customer places an order through the Runlo platform, the merchant is responsible for preparing the order, verifying product availability, ensuring order accuracy, and complying with legal sales requirements. Merchants may offer store pickup, local delivery, or scheduled delivery.

6. Retailer of Record

Each merchant using the Runlo platform is the retailer of record for all products sold through the platform. Runlo provides a technology platform that enables merchants to receive and manage customer orders but does not sell, store, or take title to any products offered by merchants. All product sales occur directly between the customer and the merchant. The merchant is solely responsible for licensing compliance, tax obligations, regulatory compliance, and order fulfillment.

7. Delivery Compliance and Age Verification

Merchants offering delivery through the Runlo platform are solely responsible for ensuring that all deliveries comply with applicable local, state, and federal laws. This includes verifying the legal age of recipients where required and refusing delivery when legal requirements are not satisfied. Runlo does not supervise delivery personnel or verify recipient eligibility.

8. Payment Processing

Runlo may facilitate payment processing through third-party payment providers. Customer payments may be processed through the platform on behalf of merchants. Detailed settlement schedules, payout procedures, and financial arrangements may be governed by a separate Merchant Agreement executed between the merchant and Runlo.

9. Merchant Agreement

Merchants may be required to execute a separate Merchant Agreement governing payment settlements, operational procedures, and other commercial terms. If there is any conflict between these Terms and the Merchant Agreement, the Merchant Agreement will control.

10. Merchant Responsibilities

Merchants agree to fulfill orders in a timely manner, maintain accurate store hours, provide quality products, and comply with all applicable business, tax, and regulatory requirements.

11. Platform Availability

Runlo strives to maintain reliable platform availability but does not guarantee uninterrupted service. Runlo is not liable for lost sales or interruptions caused by platform downtime.

12. Limitation of Liability

Runlo provides the platform on an "as is" and "as available" basis. To the maximum extent permitted by law, Runlo shall not be liable for indirect or consequential damages including lost profits or lost revenue.

13. Indemnification

Merchants agree to indemnify and hold harmless Runlo, Alchub LLC, and its officers and employees from claims arising from merchant products, business operations, regulatory violations, or breaches of these Terms.

14. Termination

Runlo may suspend or terminate merchant access to the platform at any time if these Terms are violated, fraudulent activity is suspected, or regulatory issues arise.

15. Governing Law

These Terms shall be governed by the laws of the State of Missouri. Any disputes arising from the use of the platform shall be resolved in the courts located in Missouri.
